This is the general template of the PaulClean Club Membership Agreement. The copy you accept at checkout is filled in with your own plan, price and set, and is kept in your account.

1. PARTIES

Company: PaulClean LLC, a Washington limited liability company, UBI No. 605578080, 4702 Davis Ave S, GG205, Renton, WA 98055 ("PaulClean", "we", "us").

Member: the member, phone the member's phone number, email the member's email ("Member", "you").

Service Address: the member's service address

This Agreement governs your PaulClean Club membership (the "Membership"). It is a recurring, automatically renewing service plan. Please read it carefully — it explains what is included, what you will be charged, when, and how to cancel.

2. YOUR PLAN

What your plan includes in each membership year (12 months from the date this Agreement takes effect):

  • Scheduled cleanings of your set: 4 (Premium) / 2 (Standard) / 0 (Basic) per year
  • Stain visits: 2 (Premium) / 1 (Standard) / 0 (Basic) per year
  • Member price: 20% off our standard price on any other cleaning you book while your Membership is active.

The monthly price is calculated from the items in your set at the time you join, our current price list and, where applicable, the travel fee for your Service Address. It is not affected by promotional discounts, coupons or loyalty points, and the Membership itself does not earn or accept loyalty points.

3. TERM, AUTOMATIC RENEWAL AND BILLING

3.1. Term. Your Membership starts on the date you accept this Agreement and continues month to month until you cancel it or we end it under Section 9.

3.2. Automatic monthly charge. By accepting this Agreement you authorize PaulClean to charge your monthly price to the payment card you provided ("Card on File") today, and then on the same calendar day of each following month, automatically, until you cancel. Charges are processed by Square, Inc. PaulClean does not store your full card number.

3.3. First charge. Your first charge of your monthly price is made today, the date you accept.

3.4. Price is fixed for 12 months. Your monthly price will not change during your first membership year. At each anniversary we may update it to reflect our then-current price list for your set. We will email you the new price at least 30 days before it takes effect; if you do not cancel before the new price takes effect, it applies from your next charge.

3.5. Card updates. You agree to keep a valid Card on File. If your card issuer provides updated card details (for example a new expiry date), you authorize us and Square to use them.

3.6. Failed payments. If a monthly charge fails, we will retry it and email you. While a charge remains unpaid your Membership is paused: scheduled cleanings, stain visits and the member price are suspended until the outstanding charge is paid. If a charge remains unpaid for 30 days we may cancel your Membership.

3.7. No refunds for the current period. Monthly charges are for the month in which they are made and are not refunded or prorated when you cancel. This does not limit any refund we choose to offer or any refund required by law.

3.8. Taxes. No retail sales tax is charged on Membership fees or Club visits: the services are janitorial services within the meaning of WAC 458-20-172 (cleaning in place of rugs, carpets and upholstery).

4. HOW TO CANCEL

4.1. Cancel any time. You can cancel your Membership at any time, with no cancellation fee:

  • online, in your account at paulcleanwa.com/account (the "Cancel membership" button), or
  • by emailing info@paulcleanwa.com or texting or calling (253) 345-4034.

4.2. Effect of cancellation. Cancellation stops all future monthly charges. Benefits already paid for continue until the end of your current monthly period, after which your Membership ends. Scheduled cleanings and stain visits that have not been used by then are forfeited; they have no cash value.

4.3. Confirmation. We will confirm your cancellation by email.

5. SCHEDULED CLEANINGS

5.1. When. Each scheduled cleaning of your set falls due at the end of each membership quarter (months 3, 6, 9 and 12 on Premium; 6 and 12 on Standard), within a two-week window before and after that date (the "Visit Window"). When your Visit Window opens (about two weeks before the due date) we text and email you a choice of free appointment times; you can also pick a time in your account or by contacting us.

5.2. One per window. One scheduled cleaning is available in each Visit Window. Cleanings are not accumulated: a cleaning that is not scheduled and performed within its Visit Window is forfeited, unless the delay was caused by us.

5.3. Rescheduling. You may reschedule a booked visit free of charge up to 24 hours before the appointment. If we arrive at the agreed time and cannot access the Service Address, or you cancel with less than 24 hours' notice, that scheduled cleaning counts as performed, unless we agree otherwise.

5.4. Scope. A scheduled cleaning covers the items in your set as listed in Section 2, in ordinary residential condition. Additional items or rooms you ask us to clean during a visit are billed separately at the member price.

6. STAIN VISITS

6.1. What a stain visit is. A stain visit is a short call-out to treat one stain or spill — for example a pet accident or a spilled drink — on any carpet, rug or upholstered item at the Service Address, whether or not it is part of your set. Each stain visit covers up to 60 minutes of work on site.

6.2. How to request one. Request a stain visit in your account or by text, describing what happened (we need this to bring the right products). We schedule stain visits within our normal working hours and aim to come out within a few days.

6.3. Limits. Stain visits are available from the first day of your Membership, are counted per membership year from the date your Membership first started, do not accumulate and are not carried into the next year. Work beyond 60 minutes or beyond one stain, and any item that needs a full cleaning, is offered at the member price.

6.4. Results. Some stains are permanent regardless of method (see Section 8). A stain visit is a professional attempt to remove the stain, not a guarantee that it will disappear.

7. CHANGING YOUR PLAN OR SET

7.1. You may switch between plans or change the items in your set at any time in your account. The new monthly price is calculated the same way as in Section 2 and takes effect from your next charge.

7.2. A plan change starts a new 12-month membership year on the date of the change: the price fix in Section 3.4 and the count of scheduled cleanings restart from that date. A set change keeps your current membership year: the new monthly price applies from your next charge and stays fixed until your next anniversary; scheduled cleanings not yet booked are re-priced, not re-planned. Stain visits stay counted per year from the date your Membership first started.

7.3. Where a change replaces an upcoming scheduled cleaning, the cleaning is re-planned under the new plan; a visit already booked with a confirmed date is kept.

8. SERVICE TERMS FOR EVERY CLUB VISIT

Every visit performed under this Membership — scheduled cleanings, stain visits, and any cleaning booked at the member price — is performed under the following terms, which you accept once here, so that no separate agreement needs to be signed at each visit.

8.1. Access and preparation. You will provide access to the Service Address at the agreed time, and free access to the items to be cleaned. Please remove small items and breakables from the areas to be cleaned. We do not move heavy furniture (sofas, beds, mattresses, wardrobes, dressers, bookcases, china cabinets, pianos, appliances, electronics); the only exception is an upholstered item that is itself being cleaned. Areas under furniture that is not moved are not cleaned.

8.2. Condition of items and expected results. We use professional-grade equipment and products and clean to the best of our ability. Results depend on the fibre, age, construction and history of each item. Some staining, wear and discolouration are permanent regardless of method, and pre-existing damage (loose seams, worn backing, dye instability, prior improper cleaning) may become more visible after cleaning. Where our technician identifies an item at risk, they will tell you before proceeding, and you may decline that item.

8.3. Drying and post-service care. Items are damp after cleaning; typical drying time is 4–12 hours depending on fibre and ventilation. Keep good airflow, keep pets and children off cleaned items until dry, and do not replace furniture on damp carpet without protection under the legs.

8.4. Satisfaction re-clean. If you are not satisfied because of something we did wrong, contact us within 48 hours after the items are dry (no later than 4 days after the visit) and we will re-clean the affected area at no charge.

8.5. Damage claims. If you believe our work damaged an item, notify us in writing at info@paulcleanwa.com within 3 days of the visit, with photos, and keep the item available for inspection. If we are responsible, we will repair the item, re-clean it, or refund the amount attributable to that item, at our discretion.

8.6. Limitation of liability. Except as stated in Sections 8.4 and 8.5, PaulClean is not liable for indirect, incidental or consequential damages arising from the services. Our total liability for any claim relating to a visit is limited to the greater of the monthly fee paid for the month of that visit and the standard price of the cleaning in question. Nothing in this Agreement limits liability that cannot be limited by law.

8.7. Photographs. Our technician may photograph the items before and after cleaning to document the work; these photographs are kept with your service record. We will not use them for marketing without your separate permission.

8.8. Restoration work is excluded. Water extraction after a flood or leak, mold, smoke or fire damage, biohazard and construction cleanup are not covered by the Membership and are quoted separately.

9. OUR RIGHT TO END OR CHANGE THE MEMBERSHIP

9.1. We may cancel your Membership with 30 days' email notice at any time, or immediately if a charge remains unpaid under Section 3.6, if the Service Address moves outside our service area, or if a visit cannot be performed safely.

9.2. If we cancel other than for non-payment, we will refund the unused part of the current month, prorated by days.

9.3. We may update this Agreement for future membership years. We will email you any material change at least 30 days before it takes effect; continuing your Membership after that date is acceptance of the change. If you do not agree, you may cancel before it takes effect.

10. COMMUNICATIONS

We will send you Membership emails (receipts, scheduling, price notices, cancellation confirmation) at the email above. Text messages for scheduling are sent only if you have opted in to text messages; you can opt out of texts at any time by replying STOP, in which case we will contact you by email and phone instead. Message and data rates may apply.

11. ELECTRONIC RECORDS AND ACCEPTANCE

This Agreement is entered into electronically. By ticking the acceptance box and starting your Membership you agree to be bound by it, and you agree that this electronic acceptance, together with the record we keep of it (date, time, plan, price and the text you accepted), has the same effect as a signed paper agreement under the Washington Uniform Electronic Transactions Act (RCW 1.80) and the federal E-SIGN Act. A copy of the accepted text is available in your account and will be emailed to you.

12. GENERAL

12.1. This Agreement, together with our Terms of Service and Privacy Policy at paulcleanwa.com, is the entire agreement between you and PaulClean about the Membership. If they conflict, this Agreement governs the Membership.

12.2. This Agreement is governed by the laws of the State of Washington. Any dispute will be brought in the state courts of King County, Washington, unless the law requires otherwise. Before filing any claim, both of us agree to first try in good faith to resolve it by contacting each other.

12.3. If any part of this Agreement is found unenforceable, the rest remains in effect.

12.4. You may not transfer this Membership to another person or address without our written agreement.

13. ACKNOWLEDGMENT

By accepting this Agreement you confirm that:

  • you have read it and agree to its terms;
  • you understand that your Membership renews automatically every month and that your monthly price will be charged to your Card on File each month until you cancel;
  • you understand how to cancel (Section 4);
  • you are at least 18 years old and authorized to use the Card on File and to arrange services at the Service Address.
